Biennial reports for domestic corporations are due on April 1, 2008. Corporations and LLCs should have received a notice from the Secretary of State reminding them to file their biennial reports. Failure to submit your biennial report and pay the required fees may result in dissolution/revocation of your entity.
Each domestic corporation, and each foreign corporation authorized to transact business in this state, is required to deliver a biennial report for filing to the Secretary of State. The first biennial report should be delivered for filing between January 1 and April 1 of the first even-numbered year following the calendar year in which a domestic corporation was incorporated or a foreign corporation was authorized to transact business. Subsequent biennial reports must be delivered to the Secretary of State between January 1 and April 1 of the following even-numbered calendar years.
